Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Black Dog Trading Cards ("BinderTrax", "we", "us", or "our") governing your access to and use of the BinderTrax mobile application and related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account. If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Your Account

• You must provide an accurate email address and keep your account information current.
• You are responsible for safeguarding your password and for all activity that occurs under your account. Choose a strong, unique password and do not share it.
• Notify us promptly at support@bindertrax.com if you suspect unauthorized use of your account.
• We may require you to verify your email address before granting full access.

3. What BinderTrax Does

BinderTrax helps collectors and sellers catalog trading cards, look up estimated market values, scan cards using your device camera, manage inventory, and — for users who connect the relevant accounts — prepare and manage marketplace listings. Features may change over time.

4. Pricing and Valuation Estimates

Market prices, valuations, condition assessments, and appraisals shown in the Service are estimates compiled from third-party data sources and automated analysis. They are provided for informational purposes only, are not guarantees of value, and should not be relied upon as the sole basis for buying, selling, insuring, or grading any item. The appraiser feature provides an advisory condition read and is not a certified grade. You are solely responsible for your transactions.

5. Third-Party Services

The Service integrates with third-party providers, including cloud hosting and authentication, payment processing, image and text recognition, marketplace integrations, and trading-card pricing data providers. Your use of those integrations may be subject to the third parties' own terms and privacy policies. We are not responsible for third-party services, and their availability is not guaranteed.

6. Marketplace Listings and Selling

If you connect a marketplace account (for example eBay), you can use the Service to prepare, publish, revise and end listings, and to record in-person sales.

• You are the seller of record. Listings are created under your own marketplace account, in your name.
• You are responsible for the listing — its accuracy, its images, its price, its condition description, and for meeting the marketplace's rules, your tax obligations, and any consumer-law duties you owe your buyer.
• You pay the marketplace's fees. Insertion fees, final value fees, reserve fees, and any other charge the marketplace levies are billed to your account by them, not by us. We do not receive any part of them.
• Your marketplace's own listing allowance is separate from your plan. eBay limits how many listings an account may have before additional insertion fees apply, and that allowance is set by eBay per account. Where a BinderTrax plan says listings are unlimited, that describes what BinderTrax permits, not what your marketplace does. It is your responsibility to know your own account's limit and any fees beyond it.
• We do not guarantee that a listing will publish, remain live, or sell. Marketplaces can reject, alter, or remove listings under their own policies, and their systems can be unavailable.
• You may disconnect a marketplace account at any time. Listings already live on that marketplace remain yours to manage there.

7. Affiliate Links and Compensation

Some links to eBay and other third-party marketplaces within the Service are affiliate links, including links placed through the eBay Partner Network. If you click one of these links and make a purchase, BinderTrax may earn a commission or other compensation from the marketplace or seller, at no additional cost to you. This potential compensation does not influence the card identification, pricing, or valuation information the Service displays, and does not affect the price you pay.

8. Your Content and Data

You retain ownership of the inventory data, images, and other content you submit ("Your Content"). You grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to any content you upload.

9. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• scrape, reverse engineer, or resell the Service or its data except as expressly permitted; or
• upload content that infringes the rights of others or that is unlawful.

10. Subscriptions, Billing and Cancellation

### 10.1 Plans

BinderTrax offers a free plan, paid subscription plans, eligible introductory trials, a free trial of the web portal (Section 10.5), and a limited public scanner demo. What each plan includes — including any monthly limits on scans or Centering Tool reads, the number of cards you may track, and the number of active marketplace listings — is shown on the purchase screen in the app and at bindertrax.com/upgrade at the time you subscribe. Plan contents may change; if we materially reduce what your plan includes, Section 10.7 applies.

### 10.2 Where you buy, and who charges you

Subscriptions may be purchased through the Apple App Store, Google Play, or directly on the web through our payment provider.

• Purchases made through the App Store or Google Play are billed by Apple or Google under their terms, not ours. Your subscription is managed and cancelled in your Apple ID or Google Play account settings. We cannot cancel, refund, or change those subscriptions on your behalf.
• Purchases made on the web are billed by our payment provider. We never receive or store your card details.

### 10.3 Automatic renewal

Paid subscriptions renew automatically. Unless you cancel, your subscription renews at the end of each billing period for the same period length and at the then-current price for your plan, and your payment method is charged at the start of each renewal period.

### 10.4 Cancelling

You may cancel at any time.

• Cancel an App Store or Google Play subscription in your Apple ID or Google Play account settings. Deleting the app does not cancel a subscription.
• Cancel a web subscription from the account or billing page linked in your purchase receipt, or by contacting support@bindertrax.com.

Cancellation takes effect at the end of the current billing period. You keep access to your paid features until then, and you are not charged again after that. To avoid being charged for the next period, cancel at least 24 hours before the current period ends.

### 10.5 Free trials

(a) Store introductory trials. If a free trial is offered when you buy a subscription through the App Store, Google Play or on the web with a payment method, the trial converts into a paid subscription automatically at the end of the trial period unless you cancel before it ends. Trials may carry lower usage limits than the paid plan they trial, and those limits are shown before you start.

(b) Web portal trial (no credit card required). If you are on the free plan, you may start one free trial of a paid plan in the BinderTrax web portal. While the trial runs, the web portal works as the plan you chose; the mobile app stays on your own plan. The trial ends after the number of days or the number of scans shown when you start it, whichever comes first. We do not ask for a payment method, the trial never becomes a paid subscription, and you are not charged when it ends. When it ends, the web portal returns to your own plan's access. Your account, collection and the data you added during the trial are kept. To keep using the plan's web portal features, you can subscribe.

(c) One trial per person. Each person and each account may start one trial under (b), across all plans. We may refuse or end a trial that we reasonably believe was started to get around this limit, for example from a second account using the same email address or the same browser, or after many trials from the same network. We may change or stop offering trials at any time; a trial already running continues on its original terms.

### 10.6 Refunds

• App Store and Google Play purchases: refunds are handled entirely by Apple or Google under their own policies. We cannot issue them.
• Web purchases: contact support@bindertrax.com. Except where the law requires otherwise, payments are non-refundable, and we do not provide partial refunds or credits for a partly used billing period.
• Statutory rights that cannot be waived under the law of your country are not affected by this section.

### 10.7 Price and plan changes

We may change prices and what a plan includes. If we increase the price of your subscription or materially reduce what it includes, we will give you notice before the change takes effect for you, and the change will apply from your next billing period. You may cancel before then if you do not accept it. Where the App Store or Google Play requires your consent to a price increase, your subscription will not renew at the higher price until you give it.

### 10.8 Credits

Credits — for example Centering Tool credit packs — are one-time purchases, not subscriptions.

• Credits are consumed as you use the corresponding feature.
• Credits do not expire.
• Credits have no cash value, cannot be transferred, exchanged, or refunded, and are forfeited if your account is terminated for a breach of these Terms.
• Credits are additional to any allowance included with your plan.

### 10.9 What "unlimited" means

Where a plan is described as including unlimited use of a feature, that means we do not apply a monthly cap to your personal use of it in the app.

It does not extend to: automated, scripted, or bulk use; use by anyone other than the account holder and, for Enterprise organizations, the staff seats you have paid for; sharing or reselling access; or use that is designed to place disproportionate load on the Service. Those are breaches of Section 9, and we will contact you before taking any action on your account.

### 10.10 Organizations and staff seats

Enterprise plans allow the account owner to invite staff members.

• The owner is responsible for their organization's subscription, for the seats it holds, and for the conduct of everyone they invite.
• Staff members access the Service under the owner's subscription. If that subscription lapses or the organization exceeds the seats it has paid for, staff access may be suspended until it is resolved.
• The owner may remove a staff member at any time.

11. Intellectual Property

The Service, including its software, design, and branding, is owned by BinderTrax and its licensors and is protected by intellectual property laws. Trading-card names, images, set logos, and related marks are the property of their respective owners; BinderTrax is not affiliated with, endorsed by, or sponsored by any trading-card publisher or marketplace unless expressly stated.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT PRICING OR CONDITION ESTIMATES WILL BE ACCURATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDERTRAX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $50.

14. Indemnification

You agree to indemnify and hold harmless BinderTrax from any claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the version and effective date above and, where appropriate, notify you in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the courts located in the State of Maryland, unless applicable law requires otherwise.
